AgentPayAPI — Terms of Service

AgentPayAPI is a Wallet-as-a-Service REST API that allows developers to programmatically create non-custodial crypto wallets and sign blockchain transactions for autonomous AI agents. We provide the execution infrastructure. We do not hold, control, or have access to the private keys or funds in your agent wallets.

You must be at least 18 years old to use the Service. By registering, you represent that:

• You are at least 18 years of age.
• You have the legal capacity to enter into a binding agreement.
• You are not located in, or a resident of, any country or territory subject to international sanctions (including but not limited to OFAC, EU, and UN sanctions lists).
• Your use of the Service complies with all applicable laws in your jurisdiction.

• You are responsible for maintaining the confidentiality of your API keys and account credentials.
• You are solely responsible for all activity that occurs under your account or API keys.
• You must notify us immediately at chris@agentpayapi.com if you suspect unauthorized access to your account.
• We reserve the right to disable any API key or account at our sole discretion.

AgentPayAPI offers the following tiers:

• Hard Cutoff: If you exceed your tier's wallet or transaction limits, further API requests will be rejected with a 429 Too Many Requests response until the next billing cycle or until you upgrade your plan.
• Enterprise Tier is available exclusively through a private contract. Contact chris@agentpayapi.com for details.

• All paid subscriptions are processed through Stripe.
• Pro subscriptions are billed on a monthly recurring basis. An annual billing option is also available.
• All prices are listed in USD. You are responsible for any applicable taxes in your jurisdiction.
• Subscriptions automatically renew unless you cancel before the next billing cycle through your account dashboard.

• You may request a full refund within 7 calendar days of your initial subscription payment or any renewal payment.
• No refunds will be issued after the 7th day of any billing cycle.
• Refund requests must be sent to chris@agentpayapi.com.
• Free tier users are not eligible for refunds (there is nothing to refund).

AgentPayAPI currently supports the following EVM-compatible blockchain networks:

• Mainnets: Ethereum, Base, Polygon, Arbitrum, Optimism
• Testnets: Sepolia, Base Sepolia

Mainnet access is available on the Pro and Enterprise tiers only. Free tier users are limited to testnet access. We may add or remove supported networks at any time with reasonable notice.

This is the most important section of these Terms:

• AgentPayAPI uses third-party secure enclave infrastructure for all key management. Private keys are generated and stored entirely within hardware-secured enclaves. Our servers, database, and staff never have access to your private keys.
• All funds held in agent wallets are and remain your sole property. We do not hold, custody, control, or have the ability to move funds in your agent wallets.
• AgentPayAPI is not a financial institution, money transmitter, exchange, or custodial wallet provider.
• You are solely responsible for securing access to your AgentPayAPI account and API keys. If your API keys are compromised, a malicious third party could instruct the signing enclave to execute transactions on your behalf. Protect your keys accordingly.

You agree not to use the Service for any of the following:

• Money laundering, terrorist financing, or any activity that violates anti-money laundering (AML) laws.
• Transactions involving sanctioned individuals, entities, or jurisdictions (OFAC, EU, UN).
• Market manipulation, wash trading, spoofing, or any form of fraudulent trading activity.
• Distributing malware, conducting denial-of-service attacks, or exploiting vulnerabilities in the Service or any connected blockchain network.
• Any activity that violates applicable local, state, national, or international laws or regulations.
• Allowing minors (under 18) to access or use the Service through your account.
• Excessive or abusive API usage designed to degrade the Service for other users.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including reporting such activity to law enforcement authorities.

• By You: You may close your account at any time by contacting chris@agentpayapi.com or through your account dashboard.
• By Us: AgentPayAPI may suspend or terminate your account for any reason, at any time, without prior notice.
• Effect on Funds: Upon termination, your agent wallets and the funds within them remain entirely your property. Since we never hold or control your private keys, termination of your AgentPayAPI account does not affect your ability to access your wallets through other means (e.g., importing your wallet into another provider).
• Effect on Data: Upon termination, we will delete your account data in accordance with Section 13 (Privacy & Data) of these Terms, except where retention is required by law.

• The Service is provided on a "best effort" basis. We do not guarantee any specific uptime percentage or SLA.
• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.
• Blockchain transactions are irreversible. We are not responsible for transactions executed correctly by the Service based on your API instructions.

• TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTPAYAPI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO AGENTPAYAPI DURING THE TWO (2) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
• In no event shall AgentPayAPI be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of funds, or loss of business opportunity, regardless of the cause of action or theory of liability.
• This limitation applies even if AgentPayAPI has been advised of the possibility of such damages.

AgentPayAPI.com uses cookies and similar tracking technologies for:

• Essential Cookies: Required for authentication, session management, and security.
• Analytics Cookies: To understand how users interact with the website and improve the Service.

By using the website, you consent to the use of cookies as described above. You may disable cookies in your browser settings, but doing so may limit your ability to use certain features of the Service.

• All content, branding, documentation, and code comprising the AgentPayAPI Service (excluding user data and open-source dependencies) are the property of AgentPayAPI.
• You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.
• You may not copy, modify, distribute, sell, or lease any part of the Service or its documentation without prior written consent.

You agree to indemnify, defend, and hold harmless AgentPayAPI, its owner, and its agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any third-party claims related to transactions executed through your agent wallets.

We may update these Terms from time to time. When we do:

• We will update the "Last Updated" date at the top of this page.
• For material changes, we will notify you by email at the address associated with your account at least 15 days before the changes take effect.
• Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

• These Terms are governed by and construed in accordance with the laws of the United Mexican States (Mexico).
• Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through mandatory binding arbitration administered in the state of Nuevo León, Mexico.
• Language: All arbitration and legal proceedings shall be conducted in Spanish.
• Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
• Exceptions: Nothing in this section prevents either party from seeking injunctive or equitable relief in the courts of Nuevo León for matters involving intellectual property or unauthorized access to the Service.

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Entire Agreement: These Terms constitute the entire agreement between you and AgentPayAPI with respect to the Service and supersede all prior agreements.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights at any time without notice.
